                                                                                  REQUEST FOR PROPOSAL NO. LPB/MM/160015055/2022 (“ RFP”)

Dear Sirs,

LOTOS Petrobaltic S.A. ("LPB”) invites contractors (“Contractor”) to submit an offer forvaluation (Fair Market Value) of the 5 rigs (Baltic Beta, PG-1, Petro Giant, LOTOS Petrobaltic, CP Petrobaltic) for needed of Insurance.

Technical conditions for rigs will be sent on the beginning next week.

Execution of the contract must be made no later than 2 ^th March 2022 and should be done using one, two or all three appraisal methods (if possible).These methods are: Market Approach, Cost Approach, Income Approach.

I. REQUIRED PROPOSAL (TENDER) CONTENT

1. The Proposal shall comprise:

a) the total value of the contract;

b) delivery date;

c) payment terms (45 days after delivery of the Deliverables and invoice date).

2. Together with the Proposal the Contractor shall also attach following documents:

a) Confirmation of readiness to deliver the Goods within the required deadline;

b) Acceptance of General Terms and Conditions of orders of LOTOS Petrobaltic S.A. (available:http://www.lotos.pl/en/753/lotos_group/our_companies/lotos_petrobaltic/download);

c) Registered Documents of the Contractor (recent and valid – issued not earlier than 3 months before the date set for the Proposal submission – extract from commerce register presenting Articles of Incorporation of Contractor’s company, copy of Articles of Incorporation of Contractor’s company if representation does not result from commerce register),

d) Bank account details (bank’s name, account number and SWIFT) and valid VAT number;

II. METHOD OF SUBMITTING THE TENDER

1. Tenders can be submitted through Logintrade Purchase Platform (https://lotos.logintrade.net) or sent in the pdf files sent by e-mail to the address marta.mazur@lotospetrobaltic.pl but only in the way provided that the files are blocked by a password that prevents their opening before the opening date and hour of the submitting the offers. In this case, the password to open files should be sent by e-mail to the same address mentioned above no earlier than the time set as the deadline for submission the offers and no later than 30 minutes after it. Otherwise this offer shall be rejected

2. All documents shall be in Polish or English. If any document is written in a language other than English or Polish it must be submitted together with their translation.

3. One Tender submission per Contractor is permitted.

4. The Contractor is obliged to familiarize itself with the information included in the RFQ and documents attached to it and prepare the Tender on their basis.

5. The Offer and its annexes must be duly signed under the Contractor’s rules of representation by a person (persons) authorized to make statements of will on behalf of the Contractor - such an authorization should result from the documents attached to the Offer in this Procedure. If the Contractor acts through proxies, their power of proxy/authorization should be attached to the Tender.

6. The Contractor submits the Tender at its own cost and risk, which means that the Contractor bears all the consequences and costs related to the preparation and submission of the Tender.

7. The Contractor can submit a Proposal for one or two or all three Items.

III. DEADLINE FOR TENDER SUBMISSION

Deadline for submission the offers: 15.02.2022 until the end of the day.

IV. CRITERION OF CONTRACTOR SELECTION

Supplier shall be selected according to the internal procedures of Employer and selection criterion shall be the lowest price.

V. CONTACT PERSONS AND METHODS OF CONTACT:

1. The person authorised to contact Contractors during the Procedure is Marta Mazur, marta.mazur@lotospetrobaltic.pl.

2. Any correspondence concerning this Procedure shall be sent via Logintrade Purchase Platform or to the e-mail addresses indicated in point 1.

3. Information will be provided on business days, between 9ºº - 14ºº (9 am - 2 pm CET).

VI. TENDER VALIDITY

The minimum period of the tender’s validity should be 60 days from the deadline for submission of the offers.

VII. RESERVATIONS AND ADDITIONAL INFORMATION

1. This RFP shall not create any contractual or other obligations between LPB and the Contractor.

2. LPB shall not be liable for any expenses incurred by the Contractor in the preparation and submission of the proposal;

3. The LPB will have no obligation to provide information and/or elucidation regarding the evaluation of various proposals and decision making process;

4. Exclusions from the RFP no. LPB/MM160015055/2022 conditions and scope may cause rejection of the Proposal;

5. LPB will not return Proposal once received;

6. LPB will not refund any costs connected with delivery and preparation of the Tender, further clarifications or complement proceedings and any other costs;

7. LPB reserves the right to cancel the contractor selection process, without giving reasons as well as to negotiate with the selected Contractor or Contractors until the contract is signed; Selection of a Contractor or Contractors for further negotiations does not constitute acceptance of the tender nor award of the contract within the meaning of the Civil Code;

8. The Tender Participants will be notified about the selection results;

9. LPB reserves the right to call off request for proposal without giving any reasons;

10. LPB reserves the right to make changes in this RFP up to Proposal submission date;

11. This RFP shall not be considered as a Bid or Tender [pol. Oferta] according to the regulations of Polish civil code [pol. Kodeks Cywilny];

12. Agreement with chosen Contractor shall be governed by the Polish law and based on General Terms and Conditions of orders of LOTOS Petrobaltic S.A. (available:http://www.lotos.pl/en/753/lotos_group/our_companies/lotos_petrobaltic/download);

13. LOTOS Petrobaltic S.A. operates according to CSR Policy described in the Attachment no. 1 and General Data Protection Regulation Policy described in the Attachment no. 2.
