1. INTRODUCTION

1.1. Purpose and scope of the request

This request for quotation concerns domestic road transport for the following locations:

• Warehouse CERSANIT ROMANIA in Bacau (Romania).

The request for qoutations concerns:

• Full truckload transport in domestic and international relations in accordance with the specification included in Annex 1 (RFQ 2022)
• The inquiry is neither a contract nor a commercial offer in relation to a potential Contracted Party and may not have any legal consequences for the Ordering Party,
• Caolin reserves the right to select partners based on the analysis of submitted quotes.

1.2. Basic expectations

The intention of CAOLIN Sp. z o.o. is to select a group of permanent transport subcontractors for the implementation of FTL and LTL transports based on the offers sent from the RFQ

The basic expectations of Caolin Sp. z o.o. related to cooperation

with the transport operator include:

• timeliness in providing the means of transport for loading,
• timely delivery of finished products to customers
• possibility of signing a contract for a minimum period of up to 1 year,
• flexibility in the provision of means of transport
• declaring the appropriate number of means of transport,
• securing appropriate administrative services (permanent contact person, direct contact with the driver),
• commitment to cover all costs of the resulting complaints from damage in transport,
• incurring costs resulting from delays in deliveries due to the fault of the Contracted Party,
• willingness to cooperate in partnership and development with Caolin Sp. z o.o.
• presentation of the offer according to the attached draft price list

2. Basic quantitative information

2.1Assortment data

Type of assortment - floor and wall tiles, decorations, - bathroom ceramics, furniture, acrylic (bathtubs, shower bases), accessories, sanitary ceramics. Maximum number of pallets per FTL = 33 pallets or weight 22/24/25 tons depending on the destination country. Euro-type pallets may occur in some transports.

2.2 Volumes

All information on the number of pallets shipped from individual locations can be found in the attached file.

3. Principles of cooperation with Caolin Sp. z o.o.

3.1 General provisions

· The Contracted Party guarantees the proper performance of the ordered services in accordance with the procedures agreed by the parties, with due diligence taking into account the professional nature of its activity.

· The Contracted Party guarantees the delivery of vehicles in good technical condition, with all the documents and permits necessary for transport, where the service will be performed, meeting the requirements for admission to traffic in Poland, transit countries and the destination country.

· The delivery of goods must take place in accordance with the provisions of the transport law in force in the Republic of Poland.

· Acceptance for execution and delivery of goods outside Poland must be carried out in accordance with the CMR convention.

· When performing the services ordered by the Ordering Party, the Contracted Party has the right to use subcontractors working on his behalf. Subcontracting the execution of the order to a subcontractor does not require a separate consent of the Ordering Party. At the same time, the Contracted Party takes full responsibility for the correct and contractually correct performance of all services ordered by the Ordering Party, regardless of whether they were performed by his own efforts or by his subcontractors.

3.2 Obligations and rights of the Contracted Party

• The Contracted Party is obliged to provide trucks for loading on the agreed date in accordance with the Order received from the Ordering Party.
• The Contracted Party is obliged to deliver the goods to the place indicated by the Ordering Party within the agreed time.
• The driver of the Contracted Party is obliged to be present at the loading and behave in accordance with the loading instructions. The correctness of loading is confirmed by the driver's signature on the national consignment note or CMR.
• The Contracted Party undertakes to send a notification (in the form of an authorization containing the car and driver data) of the vehicles to be loaded or, in the case of access to the website, to make the notification itself.
• The Contracted Party is obliged to monitor the deliveries and supplement the actual delivery dates in the TMS system.

• The Contracted Party is obliged to immediately notify the Ordering Party about any obstacles that may delay or prevent the execution of individual Orders.
• The Contracted Party is liable for damages resulting from failure to provide or delayed delivery of the ordered means of transport.
• The Contracted Party is obliged to provide the Ordering Party with all documents related to the transport of the cargo originally confirmed by the recipient of the goods, together with an invoice for the service provided.
• The Contracted Party guarantees the confidentiality of all documents carried together with the goods, unless the Ordering Party decides otherwise.
• The Contracted Party is obliged to settle all received transport documents with the Ordering Party in a timely manner, not later than 30 days from the date of unloading.
• In the event of loss, defect, damage to the goods or discrepancies in the goods found at the recipient in the delivery carried out by the Contracted Party, the Contracted Party or its driver is obliged to immediately provide the information to the Ordering Party. The contracted Party or its driver is obliged to participate in activities related to the determination of the condition of the shipment in the event of loss, shortage, damage or other discrepancies regarding the condition of the shipment, regardless of the place of the above-mentioned circumstances.

• The Contracted Party confirms that he has OCP insurance for the amount of PLN 200,000 (USD 50,000) or OCS insurance for the amount of PLN 300,000 (USD 75,000)

3.3 Obligations and rights of the Ordering Party

• The goods will be transported on the basis of written orders submitted electronically (e-mail) to authorized persons.
• The Ordering Party undertakes to provide the Contracted Party's driver authorized to collect the goods with a complete set of transport documents, in particular a domestic consignment note or CMR - containing all the necessary data necessary for the execution of the Order.

• The Ordering Party undertakes to quickly and efficiently load the vehicles provided by the Contracted Party, so that the loading does not exceed 4 hours from the planned start of loading time. In the event of delays in loading, the contractual penalty due to the Contracted Party for each hour of demurrage during loading is 50PLN.
• The Ordering Party will not load more goods than those allowed for transport on Polish roads in accordance with the Transport Law in force in the territory of the Republic of Poland or the CMR Convention.
• The Ordering Party has the right to refuse loading if the car provided by the Contracted Party does not meet the requirements necessary for the import of the Ordering Party's loads, and in particular poses a risk of damage or destruction of the load.
• The Contracted Party will inform the recipient about the planned date of delivery of the goods. The Ordering Party agrees to direct contacts between the Contracted Party and the recipient if it is to improve the organization of cooperation between the parties to the contract.

4. Other

4.1 Payment terms

The applicable payment term at Caolin Sp. z o.o. is 60 days from the date of receipt of the invoice with the original documents confirming the delivery of the goods by the Recipient (delivery note, CMR, packing list).

4.2 Insurance

All bidders must provide valid and paid carrier’s liability insurance for PLN 200,000 (USD 50,000) or forwarder’s liability insurance for PLN 300,000 (USD 75,000).

4.3 IT system

Tenderers should have appropriate technical tools in the field of IT software and hardware, as specified in the further stage of the negotiations to ensure in the future, Caolin can freely exchange and access data.

4.4 Schedule and communication plan

Caolin offers the following timetable for submitting proposals for this RFQ:

- sending a request for quotation by Caolin Sp. z o.o. (round 1) - 19/10/2021

- sending a request for quotation by Caolin Sp. z o.o. (round 2) - 09/11/2021

- meetings with the nominated group of carriers - until 17/12/2021

- start of cooperation - 03/01/2022

All questions should be submitted in accordance with the attached communication plan. Bids should be only and exclusively sent through the Logintrade tendering platform within the deadlines specified in the tender schedule.
