Dear Sirs,

Grupa LOTOS S.A. is pleased to invite you to take part in a tender procedure concerning brokerage in the purchase of Noble Metals (platinum and palladium).

1. Subject matter of the invitation:

Brockerage in the purchase of Noble Metals(platinum and palladium), which will be used in production of catalysts for Grupa LOTOS S.A., in quantities specified below:

- Platinum - 14 087 troy oz (fourteen thousand eighty seven)

- Palladium - 5 683.2 troy oz (five thousand six hundred eighty three and 20/100)

where one troy ounce (oz t) equals exactly: 31.103 476 8 grams

The platinum and palladium shall be supplied by Grupa LOTOS to a catalyst manufacturer as: elemental metals, in a solid, sponge form and shall have a minimum purity of Ninety Nine point Ninety Five percent (99.95%) of platinum and palladium metal, respectively.

Additional information: prior to production of the catalyst the Noble Metals are to be converted into their “converted fluid forms” necessary for use in process of manufacturing of the catalysts.

After the transaction, the purchased Noble Metals amounts shall be transferred (credited) to the “noble metals account/accounts” of the catalyst manufacturer. The details of the account(s) will be specified later.

The value of funds transferred by Grupa LOTOS S.A. for the purchase of metals should be secured with an appropriate advance payment guarantee valid from the receipt of the funds to the account until the precious metals are transferred to the account of the catalyst manufacturer.

Please note that the settlement will be based on the issued invoice.

2. Date of delivery of the subject matter (tentatively): October 2021 – March 2022; to be specified by GLSA later.

3. Tender content and form:

Questions shall be asked only via the Logintrade Purchasing Platform within terms indicated in the inquiry. Questions asked after the deadline will not be answered.

Answers will be given to all participants to the procedure after the expiry of the deadline for asking questions in a form of an update to the invitation to tender.

Tenderers may submit a tender only via the Logintrade Purchasing Platform.

The offer shall include:

· The lump sum price of brockerage service for the purchase of Noble Metals (separate for platinum and palladium) and their transfer to a noble metal account (or accounts) of the catalyst manufacturer (indicated by Grupa LOTOS),

· Copy from the register of entrepreneurs confirming the right to trade in Noble Metals,

· Conditions on which Grupa LOTOS S.A. shall make funds available for the purchase,

· Description of the process (from the receipt of the order to the final settlement of transaction),

· Power of proxy to submit the offer. 

The offer must be submitted by a company with LPPM membership.

All prices indicated in the tender shall be net prices (excluding VAT) in USD currency.

The tender shall be drawn up in Polish or English.

4.Deadline for tender submission: according to the invitation on the Logintrade Purchasing Platform. Incomplete tenders and tenders sent after the deadline will not be reviewed.

5.A tenderer can modify or withdraw its tender with no legal consequences, under the condition that it submits its written request for that before the final deadline for tender submission. After withdrawing its tender, the Tenderer may submit a new tender, under the condition that it is submitted before the final deadline for tender submission. Grupa LOTOS S.A. reserves the right to modify the terms of the invitation before the final deadline for tender submission.

6.Grupa LOTOS S.A. reserves the right to cancel the contractor selection process, close the process without choosing a contractor and to negotiate with the chosen tenderer or tenderers at the moment of signing the contract/order issuance. Selection of a tenderer/tenderers for further negotiations does not constitute acceptance of the tender nor award of the contract within the meaning of the Civil Code.

7. Grupa LOTOS S.A. reserves the right to accept/reject tenders partially or completely as well as to change the number of items referred to in the specification.

8. The inquiry is of a budgetary nature and market research, Grupa LOTOS S.A. reserves the right to close the procedure without selecting an offer.
