Grupa LOTOS S.A. invites you to submit an offer in accordance with the terms of this procedure.

1. The subject of the inquiry 
The subject of this request is to prepare the project, the execution and delivery of the air preheater 440 inserts to the furnace:

air preheater 440 E14 HTA 1524 insert – 15 sets
air preheater 440 E14 LT 1524 insert – 30 sets

The basis for the preparation of the offer is the attached documentation of the currently used apparatuses (Annex no. 1) and the Technical Standards of Grupa LOTOS S.A. available at https://pliki-lotos.logintrade.net/Standardy_Techniczne_GLSA2018.zip
At the same time, we would like to point out that the attached documentation is only illustrative and contains the basic assumptions for the preparation of the project and the presentation of the offer.

Annex no. 2 is a pictorial photos of currently used exchanger inserts. To prepare your offer, please use the data contained in Annex no. 1.

The potential purchase order includes:
• execution and delivery of air preheater inserts with all fastening elements (mounting screws and sealing materials)
• preparation of executive documentation of the inserts made and the concession document approved by the Notified Body (execution drawings, material certificates, welding qualifications, test results, etc.)
• five copies of the documentation in the paper version (with markings and numbering of GL SA), one electronic version (CD).
Please be informed that the unit price offered should include a consideration for the transfer of copyrights and related rights to the documentation that within the subject inquiry uprising.
Grupa LOTOS S.A. stipulates that the technical documentation created or provided as a result of the execution of the future Order, constituting a work within the meaning of the Act on Copyright and Related Rights, may be used, as part of the contractual remuneration resulting from the future Order and upon receipt of the work, on the terms and fields exploitation indicated in the General Purchase Conditions, in particular, Grupa LOTOS S.A. may use the above-mentioned documentation in order to conduct a new contractor selection procedure, under which this documentation may be made available.

2. Date of delivery of the subject matter: Delivery and invoice until 30/09/2021

3. Terms of the delivery: DDP Grupa LOTOS S.A., according to Incoterms 2020

4. Warranty: minimum 36 months

5. Tender content and form:
Questions should be asked only via the Logintrade Procurement Platform within terms indicated. Questions asked after the deadline will not be answered.
Answers will be given to all participants to the procedure after the expiry of the deadline for asking questions in a form of an update to the invitation to tender.

Tenderers may submit a tender only via the Logintrade Procurement Platform.
A complete tender should consist of two parts – a substantive and technical part and a commercial part.
The tender should be drawn up in Polish or English.

Tender validity: minimum 90 days

The substantive (technical) part should include:

• Information required in the invitation excluding the price,
• Technical documentation
• A completed and signed form (Annex No. 3 to this invitation),
Annex No. 3 must not be modified and should be signed by authorised persons. Failure to attach signed and completed annex, according to the template may result in the tender’s rejection.

A scan of:
• Registry documentation,
• Power of proxy to submit the tender,
• In case of foreign entities – a certificate of residency
• Documents constituting attachments to the offer

In order for a commercial tender to be reviewed it must comply with technical requirements.
The commercial part should include:
• The price for the subject matter described in the invitation as well as other parameters indicated in the commercial section on the Logintrade Procurement Platform.
• A signed copy of the Tenderer’s statement (Annex No. 4 to this invitation)
Annex No. 4 must not be modified and should be signed by authorised persons. Failure to attach signed and completed annex, according to the template may result in the tender’s rejection.

All prices indicated in the tender should be net prices (excluding VAT). Costs resulting from provision of all other services referred to in the technical documentation attached to the invitation as well as annexes to it must be included in the tender.

6. Deadline for tender submission: according to the invitation on the Logintrade Procurement Platform. Incomplete tenders and tenders sent after the deadline will not be reviewed.
7. A tenderer can modify or withdraw its tender with no legal consequences, under the condition that it submits its written request for that before the final deadline for tender submission. After withdrawing its tender, the Tenderer may submit a new tender, under the condition that it is submitted before the final deadline for tender submission. Grupa LOTOS S.A. reserves the right to modify the terms of the invitation before the final deadline for tender submission.
8. Grupa LOTOS S.A. reserves the right to cancel the contractor selection process, close the process without choosing a contractor and to negotiate with the chosen tenderer or tenderers at the moment of signing the contract/order issuance. Selection of a tenderer/tenderers for further negotiations does not constitute acceptance of the tender nor award of the contract within the meaning of the Civil Code.
9. Grupa LOTOS S.A. reserves the right to accept/reject tenders partially or completely as well as to change the number of items referred to in the specification.

• Grupa LOTOS S.A. informs that on its premises, regulations and provisions apply, which concern, among others, health and safety, fire safety and systems of passes.
• The Contractor chosen as a result of the tender procedure will be obliged to comply with the procedures applicable on the Grupa LOTOS S.A. premises.
• Grupa LOTOS S.A. declares that costs related to preparation and submission of the tender will not be refunded and that tenders submitted will not be returned to tenderers.
• Grupa LOTOS S.A. informs that every tenderer should have an insurance policy stating that the tenderer is insured against contractual third party and tort liability within the scope of the tenderer’s business activity, and if its tender is chosen, the tenderer will be obliged to keep that policy valid and in addition, the tenderer will obtain all types of insurance specific to services or works it provides/performs required for their provision/performance (for example third party insurance for vehicles and equipment, third party insurance against damages suffered in means of transport during loading, third party insurance against damages resulting from air, water or land pollution or contamination as a result of sudden and unexpected events etc.). If services of subcontractors are used to carry out the works, the insurance policy must include a clause concerning liability of subcontractors.
• Taking into account the quality of order fulfilment, safety of works and environmental protection, Grupa LOTOS S.A. reserves the right to conduct an audit on the Contractor’s premises in the fields related to the order. Such actions are aimed at assessment of compliance with requirements provided for in contractual documentation and other documents delivered for use, as well as legal regulations, norms and standards applicable to the order.
• Grupa LOTOS S.A. reserves the right to carry out any studies aimed at verifying certificates, documents and information submitted as well as to clarify financial and technical aspects of the tenders submitted.
• Grupa LOTOS S.A. declares that the official language and law of the cooperation will be the Polish language and law.
